Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Cllr.ai platform, APIs, software, and related services (collectively, the “Services”). By accessing or using the Services, you agree to these Terms.

If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.

1. Services

Cllr.ai provides a Voice AI infrastructure platform that enables businesses to build, deploy, and operate AI-powered voice agents across phone, web, and in-app environments.

We may update or modify features from time to time to improve performance, security, or functionality. Where feasible, we will provide reasonable notice of material changes.

2. Nature of AI Services

Cllr.ai provides tools that enable automated, AI-powered voice interactions. These systems are designed to support customer communication workflows, but their performance may vary depending on configuration, data quality, integrations, and usage context.

Customers are responsible for determining whether the Services are appropriate for their specific use cases and for implementing appropriate human oversight, testing, and operational controls.

3. Registration and Account Responsibility

You agree to provide accurate and complete information when creating an account and to keep that information up to date.

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account, including configurations, API usage, and automated interactions performed by your AI voice agents. Cllr.ai is not liable for any loss or damage resulting from unauthorized access caused by your failure to safeguard credentials.

4. Customer Responsibilities

You are responsible for:

  • Compliance with all applicable laws and regulations related to your use of the Services
  • Obtaining required end-user consents and providing legally required disclosures
  • Configuring and supervising how AI voice agents operate within your workflows
  • Ensuring outputs are appropriate for your business and regulatory environment
  • The content, data, and instructions you provide to the platform

Cllr.ai does not provide legal advice and does not monitor your compliance obligations.

5. Prohibited Activities and Consequences

You agree not to use the Services for any unlawful, fraudulent, harmful, or abusive purpose. This includes, but is not limited to:

  • Violating telephony, privacy, consumer protection, or communications laws
  • Making deceptive or manipulative automated interactions
  • Generating unlawful, harassing, or discriminatory content
  • Attempting to reverse engineer, disrupt, or overload the Services

We may suspend or terminate access if we reasonably believe your use presents legal, reputational, or operational risk.

You agree to indemnify, defend, and hold harmless Cllr.ai and its affiliates from any claims, damages, liabilities, and expenses (including legal fees) arising from your misuse of the Services or violation of these Terms.

6. Communications and Content Disclaimer

The Services facilitate automated communications across voice, web, and in-app channels. Cllr.ai does not monitor, control, or endorse the content of interactions generated by your AI agents.

You assume full responsibility for all communications conducted through your use of the Services, including compliance with applicable laws and third-party rights. Cllr.ai is not liable for any damages arising out of such communications.

7. Data & Privacy

You retain ownership of your data. By using the Services, you grant Cllr.ai the right to process data solely to provide, maintain, and improve the Services.

While we use commercially reasonable safeguards, no system can be guaranteed to be completely secure. You acknowledge the inherent risks of transmitting data electronically and are responsible for ensuring you have legal rights to collect and process any personal data used with the Services.

8. Intellectual Property

All rights in the Services, including software, models, systems, and documentation, belong exclusively to Cllr.ai or its licensors.

You receive a limited, non-exclusive, non-transferable right to use the Services during your subscription. You may not copy, resell, sublicense, or exploit the platform except as expressly permitted.

9. Service Availability

We strive to provide reliable services but do not guarantee uninterrupted or error-free operation. Maintenance, updates, third-party failures, or events beyond our control may cause temporary service interruptions.

10. Third-Party Services

The Services may rely on third-party providers such as cloud infrastructure, AI model providers, or telephony networks. Cllr.ai is not responsible for failures, inaccuracies, or outages caused by third-party services.

11. Disclaimer of Warranties

Cllr.ai strives to provide reliable and high-quality services. However, the Services are provided on an “as is” and “as available” basis.

To the extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of Liability

To the fullest extent permitted by law, Cllr.ai will not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities.

Cllr.ai’s total aggregate liability for any claims related to the Services will not exceed the amount paid by you to Cllr.ai in the twelve (12) months preceding the event giving rise to the claim.

13. Fees and Payments

You agree to pay all applicable fees as specified in your subscription plan or Order Form. Unless otherwise stated in writing, fees are non-refundable.

You are responsible for any taxes associated with your use of the Services, excluding taxes based on Cllr.ai’s net income.

14. Termination

We may suspend or terminate your access if you violate these Terms or if your use presents legal, security, or operational risk.

Upon termination, your right to use the Services ends immediately.

15. Amendments and Updates

We may revise these Terms from time to time. Updated Terms will be posted with a revised effective date. Continued use of the Services after changes means you accept the updated Terms.

16. Governing Law

These Terms are governed by the laws of the jurisdiction where Cllr.ai is incorporated. Any disputes will be resolved in the courts located in that jurisdiction.
